Bitcoin-Backed Financing in Panama

Holding Bitcoin does not necessarily mean you must sell your entire position to access liquidity. Through selected financial relationships in Panama, qualifying clients may be able to obtain financing secured by eligible digital assets. The participating financial institution determines the collateral requirements, valuation, loan-to-value ratio, interest rate, permitted uses of proceeds and approval conditions. The collateral is generally restricted while it secures the facility.

How the Structure Works

Qualifying clients may potentially obtain financing by placing eligible Bitcoin or other approved digital assets under the collateral or custody structure required by a participating financial institution. Depending on the facility, the assets may be pledged, blocked, held under an approved custody arrangement, or otherwise restricted as collateral while the financing remains outstanding.
  • Eligibility, valuation and collateral terms are set by the institution
  • Collateral is generally restricted for the life of the facility
  • Approval is never automatic and is subject to underwriting
  • Compliance, KYC and source-of-funds review apply throughout

What Can Bitcoin-Backed Financing Be Used For?

Subject to the lender's approval and the terms of the facility, financing may potentially support purposes such as:
  • Purchasing real estate in Panama
  • Business working capital
  • Expansion of an existing business
  • Corporate liquidity
  • Investment opportunities
  • Acquisition of business assets
  • Other permitted purposes approved by the institution
Permitted uses of proceeds are determined by the financial institution and the particular financing facility. Not every use will be approved.

Illustrative Business Scenario

An entrepreneur holds a substantial Bitcoin position but needs liquidity to expand a business, acquire equipment or fund another permitted corporate purpose. Rather than necessarily liquidating the entire digital-asset position, the client may seek financing secured by eligible Bitcoin, subject to the institution's underwriting and collateral requirements.

Illustrative Real Estate Scenario

An investor wants to acquire a US$600,000 property in Panama and has approximately US$400,000 in eligible Bitcoin or other available capital. Depending on the transaction and the financial institution's underwriting, the acquisition may potentially combine the client's own capital with financing secured by eligible digital assets or another approved financing structure. No particular loan amount follows automatically from any particular holding.

Collateral Risk

Financing secured by digital assets involves collateral risk. Depending on the agreement, the value of Bitcoin may fluctuate, collateral ratios may change, additional collateral may be requested, partial repayment may be required, and lender remedies may apply if contractual thresholds are breached. Nothing on this page is investment advice or a recommendation to borrow against digital assets.

Who Does What

Díaz, Shacalo & Asociados does not lend money, does not decide loan approvals, does not set interest rates, does not operate a cryptocurrency exchange, does not custody Bitcoin collateral and does not guarantee that financing will be available. The participating financial institution or approved provider performs the regulated financial service.
Our firm coordinates the legal structure, the banking introduction and coordination, the corporate aspects, compliance and documentation, the real-estate transaction where applicable, and the immigration or residency structure where applicable.
Section VI

Buying Property in Panama With Bitcoin

Where buyer and seller agree, a real-estate transaction may potentially be structured using Bitcoin or another agreed digital asset as part of the payment arrangement. Bitcoin is not legal tender in Panama, and no seller is obliged to accept it.

What Has to Be in Place

  • Both parties must agree to the settlement asset
  • The transaction documentation must state the settlement mechanics
  • Valuation and timing should be documented
  • KYC, anti-money-laundering and source-of-funds review still apply
  • Normal title, due-diligence and closing requirements still apply

Crypto-to-USDT or Fiat Settlement

If direct Bitcoin payment is not appropriate, the transaction may potentially be coordinated through an appropriate crypto-compatible financial or service provider so that digital assets are converted or settled into USDT, U.S. dollars or another agreed settlement asset before completion of the transaction.
Díaz, Shacalo & Asociados coordinates the legal transaction. The firm does not itself perform the exchange and does not custody client digital assets.
Section VII

U.S. Escrow for Panama Transactions

For qualifying real-estate matters, our firm can also coordinate with U.S.-based escrow partners so that purchase funds are held by the escrow provider and released in accordance with the agreed closing conditions. The escrow provider, and not Díaz, Shacalo & Asociados, holds and releases the funds. Availability depends on the provider's acceptance, compliance review and the transaction documentation.
Ask Us to Structure the Transaction. Tell us what you are trying to finance, acquire or settle, and we will set out the legal and transactional structure that fits. Request a structured quote: +507 318-4699 or admin@diazshacalo.com.

Frequently Asked Questions

Is it legal to own Bitcoin and cryptocurrency in Panama?

Yes, owning Bitcoin and other cryptocurrencies is legal in Panama. Panama does not have specific cryptocurrency legislation that prohibits ownership. Digital assets are treated as property, and Panamanian residents and foreigners may legally acquire, hold, and transfer cryptocurrency subject to applicable tax and compliance considerations.

Do I need a lawyer to buy or hold cryptocurrency in Panama?

While you are not legally required to retain an attorney to purchase cryptocurrency, professional legal and compliance guidance is strongly recommended, particularly if you hold significant amounts, have banking needs, require estate planning, or need to address regulatory compliance for your digital assets.

What is a blockchain lawyer and what do they do in Panama?

A blockchain lawyer in Panama provides legal, compliance, and educational guidance to individuals and businesses involved in cryptocurrency and digital assets. This includes helping clients understand regulatory requirements, prepare compliance documentation, structure estate plans for digital assets, and navigate banking relationships as cryptocurrency holders.

Can Diíaz & Asociados help me open a bank account if I hold cryptocurrency in Panama?

Yes. We provide professional guidance regarding crypto-friendly banking options in Panama, help you prepare the necessary compliance documentation, and assist with account opening preparation. However, approval remains solely at the discretion of the financial institution, and we cannot guarantee any specific banking result.

What is a hardware wallet and do I need one?

A hardware wallet (such as Ledger or Trezor) is a physical device that stores the private keys to your cryptocurrency offline, significantly reducing the risk of hacking. For individuals holding meaningful amounts of cryptocurrency, a hardware wallet is considered a security best practice. Clients must purchase hardware wallets directly from authorized manufacturers or resellers.

Will Diíaz & Asociados ever ask me for my seed phrase or password?

Absolutely not. We never request, view, record, store, photograph, or retain seed phrases, private keys, passwords, or any authentication credentials. Any service provider who asks for your seed phrase should be considered a scam. Clients maintain exclusive control of their digital assets at all times.

Can I include Bitcoin and digital assets in my will in Panama?

Yes, digital assets can be addressed in a Panamanian will through properly drafted provisions that identify the assets, specify beneficiaries, and provide legally structured access protocols for heirs. Proper planning is essential to ensure your digital assets can actually be accessed and transferred to your intended beneficiaries.

What is Digital Asset Inheritance Planning?

Digital Asset Inheritance Planning is the process of creating legal and practical structures to ensure your cryptocurrency and digital assets can be securely transferred to your heirs upon your death or incapacity. This includes succession planning consultations, heir access protocols, digital asset inventories, and coordination with your broader estate plan.

Can a Private Interest Foundation in Panama hold digital assets?

Panama's Private Interest Foundation (Fundación de Interés Privado) is a flexible legal vehicle that can be used for asset protection and succession planning, including planning related to digital asset holdings. We provide consultation on how a foundation structure might serve your digital asset succession and protection goals.

What is the difference between a crypto exchange and a hardware wallet?

A cryptocurrency exchange is an online platform where you can buy, sell, and hold cryptocurrency, but the exchange technically holds your private keys on your behalf. A hardware wallet gives you direct control of your own private keys offline. The key distinction is custody: exchanges hold your assets for you, while a hardware wallet gives you self-custody.

What is KYC and why does it matter for cryptocurrency holders in Panama?

KYC stands for Know Your Customer, a compliance process required by banks, exchanges, and financial institutions to verify your identity and understand the source of your funds. As a cryptocurrency holder in Panama, proper KYC compliance is essential for opening bank accounts, using certain exchanges, and ensuring your assets are recognized as legitimately acquired.

Does Panama tax cryptocurrency gains?

Panama's territorial tax system generally means that income earned from sources outside Panama is not subject to Panamanian income tax. However, tax treatment of cryptocurrency depends on specific facts and circumstances. We recommend consulting with a qualified Panamanian tax professional. Our services focus on the legal, compliance, and estate planning aspects of digital asset ownership.

What is a Source of Funds letter and when do I need one for cryptocurrency?

A Source of Funds letter is a legal document that explains the legitimate origin of your assets. Banks, regulated exchanges, and financial institutions often require this documentation as part of their compliance and anti-money-laundering obligations. Our team can assist you in preparing professional source of funds documentation that meets banking compliance standards.

How long does a Digital Asset Setup or Consultation session take?

Service duration varies depending on the client's technological experience and individual learning curve. An Initial Consultation is approximately 60 minutes. Setup sessions for exchanges or hardware wallets may take between 60 and 120 minutes depending on complexity and client familiarity with technology. We proceed at the client's pace to ensure full understanding.

Can foreigners in Panama receive these services?

Yes. Our digital asset services are available to Panamanian residents, foreign nationals residing in Panama, and international clients with legal or compliance needs related to Panama. We regularly work with expats, international investors, entrepreneurs, and families with cross-border asset holdings.
