Panama Maritime Law
Panama Ship & Yacht Registration
Panamanian counsel for owners, operators, lenders and investors registering vessels under the Panama flag.
Díaz, Shacalo & Asociados acts as Panamanian counsel and resident agent for private and commercial yachts, merchant and international-service vessels and newbuildings — from the AMP Precheck through flag registration, navigation documentation, vessel title and ship mortgages.
Why Register a Vessel in Panama?
Panama operates the world’s largest open ship registry, administered by the Autoridad Marítima de Panamá (AMP) through its Directorates of Merchant Marine and of the Public Registry of Ship Property.
Open to foreign owners
Article 3 of Law 57 of 6 August 2008: any natural or legal person may register, with no requirement of nationality or domicile. A Panamanian company is not a precondition.
A clear statutory framework
Flag registration is governed by Law 57 of 2008 (General Merchant Marine); ownership, mortgages and maritime commerce by Law 55 of 2008.
Public recordation of title and liens
Titles, naval mortgages, financial leases and ownership limitations are publicly recorded, with certificates issued in Spanish and English.
Two-stage mechanisms
Flag registration and title recordation each have a provisional stage before the definitive one, so a transaction can be secured while documents are formalised.
Filing channels, in Panama and abroad
Filings may go through the Directorate in Panama, or through Privative Consulates of Merchant Marine and authorised offices abroad.
Electronic registry (REN)
In May 2025 the AMP deployed the first phase of its Electronic Ship Registry, unifying both platforms with remote filing, case tracking and online payment.
What Panama registration is not. It confers nationality and authorises the vessel to fly Panama’s flag. It is not an anonymity mechanism, does not guarantee acceptance of a vessel or its financing by any bank or counterparty, and does not displace tax, customs, employment or reporting obligations in the owner’s jurisdiction or operating areas.
Vessels We Can Assist With
We accept instructions across a wide range of vessel types. Requirements are not uniform across them.
- Private and pleasure yachts
- Commercial and charter yachts
- Superyachts and large motor yachts
- Sailing yachts
- Cargo and general dry-cargo vessels
- Passenger vessels
- Tankers and product carriers
- Tugs, barges and workboats
- Fishing vessels
- Offshore and service vessels
- Newbuildings and vessels under construction
- Other vessels in international service
Requirements differ materially between these categories, depending on intended service, vessel type, gross and net tonnage, passenger capacity, age, construction status, navigation area and applicable conventions. The AMP may also decline or condition an application on registry policy grounds. We review eligibility before filing.
Panama Flag Registration Requirements
The core framework for regular registration of a vessel in international service, as currently published by the AMP.
- Application through the appropriate AMP channel. Presented by a Panama-qualified lawyer through the authority’s electronic (PKI) system, or through a Privative Consulate of Merchant Marine or authorised office abroad.
- Appointment of a resident agent. Article 102 of Law 57 of 2008 requires owners to designate a Panama-qualified lawyer or law firm. The instrument is filed in original, duly authenticated where executed abroad.
- Prima facie evidence of ownership. Or of the intention to acquire it — typically a bill of sale, purchase contract, builder’s certificate or equivalent.
- Authentication of instruments executed abroad. Apostille under the Hague Convention, or consular legalisation where the country of execution is not a party.
- Evidence of payment of government charges. Proof of payment of the taxes, rates and duties corresponding to the registration.
- Any additional documentation the AMP requires. The General Directorate of Merchant Marine expressly reserves the right to request further documents.
This checklist is not exhaustive. The AMP may require more depending on the vessel’s age, condition, service and operating areas. Since 2024 it has strengthened its due-diligence and sanctions screening, and Law 57 of 2008 provides for cancelling the registration of vessels linked to illicit activity. Assess eligibility before committing to a seller, charterer or lender.
The Registration Process
Every matter differs, but a registration handled by counsel generally follows this sequence.
- Eligibility and structure review
Specifications, age, service, current flag, ownership chain and how the owner will hold the vessel.
- AMP Precheck
Filed with the General Directorate of Merchant Marine before the registration application.
- Resident agent appointment
The owner executes the designation instrument, authenticated abroad where applicable.
- Flag registration application
With evidence of ownership, technical and safety certification, and proof of payment.
- Provisional navigation documentation
Issued with a provisional radio licence, so the vessel can trade while the file is completed.
- Recordation of vessel title
In parallel, in the Public Registry of Ship Property.
- Mortgage recordation, where financing exists
Preliminarily, then definitively, with the lender and its counsel.
- Regulatory navigation documentation
Once title is recorded and technical, safety and inspection requirements are met.
We do not publish fixed processing times. The timetable depends on the owner’s documentation, the authentication chain abroad, the vessel’s technical and survey position, the Precheck outcome and the authority’s workload. We give a realistic estimate once we have seen the file.
Current AMP Requirement
Panama Vessel Registration Precheck
On 11 October 2024 the Autoridad Marítima de Panamá announced a Precheck preceding entry into the Panama Ship Registry. Much of the material online predates it.
What it is
A thorough risk assessment confirming compliance with international standards on safety, protection of the marine environment and crew welfare, under Law 57 of 6 August 2008.
When it applies
To any vessel applying to enter the Registry under any flagging modality, and to vessels already registered in international service seeking a change of owner, operator or charterer.
Who submits it, and when
It must be requested before the registration application, by a Panamanian law firm or a Merchant Marine consulate — one reason owners appoint counsel at the outset rather than after a sale is agreed.
Validity, and what approval does not mean
Valid for fifteen (15) calendar days. The AMP states that completing it does not constitute entry into the Registry, nor a pre-evaluation of the requirements in force; the DGMM may request further information and may approve or reject it.
Information addressed by the Precheck
Requests go to the authority’s dedicated Precheck address with the following:
- The vessel’s IMO number
- Previous registry
- Current owner
- Intended owner under the Panama flag
- Economic group
- Current operator
- Name of the charterer, in the case of bareboat charter registration
- Keel-laying date — failing which, the delivery date
- Ballast water management method used
The Precheck is time-limited and filed ahead of the application, so sequencing matters. Send us the particulars early — before a memorandum of agreement is signed or a delivery date fixed — and problems can be identified while they are still solvable.
Private Yacht and Commercial Yacht Considerations
Registering a yacht in Panama is not one uniform procedure — intended use drives most of the documentary and technical differences.
Private / pleasure use
A yacht operated for the owner and guests, without carrying passengers for reward, generally sits within a lighter technical and certification regime. The registration, resident agent, ownership and authentication requirements above still apply.
Commercial / charter use
A yacht offered for charter is commercially operated. Additional declarations, technical and safety certification, survey requirements and crewing obligations may apply, and the applicable conventions depend on tonnage, passenger capacity and trading area.
The AMP does not publish a single yacht-specific checklist. What applies depends on private or commercial operation, gross tonnage, passenger capacity and intended service — and changes if a private yacht later begins to charter. Send us the specifications and we will prepare a requirements list for that vessel.
Provisional and Regulatory Navigation Documentation
Panama issues navigation documentation — the patente de navegación — in two stages.
Provisional navigation patent
Under Article 23 of Law 57 of 2008 the General Directorate of Merchant Marine issues a provisional navigation patent with a provisional radio licence, valid for up to six months, within which the regulatory patent is to be obtained. Article 24 contemplates a further period of up to six months where the owner could not produce the required documents.
It does not require evidence that title has already been recorded in Panama.
Required for both stages
- Resident agent designation instrument, authenticated where issued abroad
- Certificate of cancellation from the previous registry, or the construction certificate for a newbuilding
- Technical and safety certificates for the vessel type
- Proof of payment of the applicable government charges
- Any further documents required by the authority
Regulatory (permanent) navigation patent
Issued once the ownership and technical positions are settled. In addition to the requirements listed for the provisional patent:
- Evidence of registration of the title of ownership in Panama’s Public Registry of Ship Property
- Technical and safety documentation, including tonnage certification
- Evidence of compliance with applicable inspection and survey requirements
- Insurance or financial security certification required by the applicable conventions
Claims that provisional papers issue within a set number of hours should be treated with caution unless the authority confirms it for your vessel at the time of filing.
Vessel Title Registration
Flag registration and title recordation are different acts, handled by different directorates — a distinction that matters when a sale or loan is closing.
Flag registration (Merchant Marine)
The act by which the State attributes its nationality to a vessel and authorises it to fly the Panamanian flag. It produces the navigation patent and radio licence.
Title recordation (Ship Property Registry)
The record of who owns the vessel and what encumbrances affect it, producing the recorded title and the certificates buyers, lenders and insurers rely on.
Preliminary and definitive inscription
A preliminary inscription may be effected through Panamanian consulates or commercial offices worldwide and, as published by the AMP, is valid for six months. A definitive inscription requires the instrument to be raised to a public deed and presented to the Directorate.
Titles must be in writing with authenticated signatures, and commonly arise from purchase and sale contracts, builders’ certificates, certificates of cancellation of a previous flag, judicial sales and donations. The Registry also records financial leasing and limitations on ownership — protective measures, seizures and embargoes.
Panama Ship Mortgages
For owners, banks and lenders the decisive question is whether security over the vessel can be recorded. Panama’s registry provides for naval mortgages and the instruments that modify them.
Registration, language and place
Registrable preliminarily through Panama’s Merchant Marine consulates worldwide, or definitively by public deed. The AMP states a naval mortgage may be celebrated in any language and in any country — a practical point for cross-border facilities.
Mortgage extract
A Spanish-language extract signed by the parties may be definitively registered through counsel, presented with the original mortgage and meeting Article 260 of Law 55 of 6 August 2008.
Fleet mortgages
Several vessels may secure a single credit, with liability apportioned between them or all vessels jointly liable for the whole amount.
Vessels under construction
Accepted where the title of ownership has previously been registered, using the shipyard’s construction certificate.
Amendments, transfers and cancellation
Amendments and supplemental instruments, assignments of credit, mergers and new creditors, assumptions of the mortgage debt, and inter-creditor, coordination and subordination agreements. Cancellation is effected by the mortgagee’s declaration extinguishing the mortgage.
Panamanian law also recognises privileged maritime credits, arising from the use or operation of the vessel and ranking by operation of law. We do not represent that a Panamanian mortgage will be accepted by any particular bank or jurisdiction: recognition and enforcement outside Panama depend on the law of the forum and the facility terms.
Bareboat Charter and Dual-Registry Structures
Article 70 of Law 57 of 2008 allows a foreign-registered vessel under a bareboat charter to be registered in the Panamanian Merchant Marine without renouncing that registry, provided the underlying registry’s legislation permits it.
The underlying registry generally keeps the ownership and mortgage position while Panama grants the flag for the charter period. It is used where a charterer requires a particular flag, and only where the underlying registry consents.
Documentation currently published by the authorities
- A copy of the bareboat charter contract
- The consent of the owner and of any mortgagees, duly authenticated
- A certificate of ownership and encumbrances from the vessel’s registry in the foreign country
- A certification of consent (anuencia) from the country of registry
- The original instrument designating the resident agent, authenticated where issued abroad
- Any other information the General Directorate of Merchant Marine requests
The Precheck expressly contemplates bareboat charter registration and asks for the charterer’s name. Panama also operates the converse procedure for Panamanian vessels chartered out abroad. The timetable is driven by how quickly the underlying registry consents.
Newbuildings and Vessels Under Construction
A vessel never registered anywhere cannot produce a cancellation certificate from a previous registry. Panama’s framework accommodates this.
The shipyard’s construction certificate or shipyard letter replaces the previous-registry cancellation certificate, for both the flag application and the navigation patent. Article 40 of Law 57 of 2008 also contemplates assigning vessel identification data in anticipation of registration, and the Precheck uses the keel-laying date or, failing that, the delivery date.
The builder’s certificate can give rise to a recordable title. Once recorded, a mortgage over the vessel under construction can be registered — allowing construction financing to be secured against the hull before delivery. The work is sequencing: aligning the shipbuilding contract, delivery protocol, Precheck, flag application and lender’s security so the vessel trades without a gap in its documentation.
How Much Does Panama Ship or Yacht Registration Cost?
There is no single flat price and we do not publish one. Government charges are set by the authorities and depend on the vessel; an all-in figure quoted without seeing the particulars is a guess.
What the overall cost includes
- AMP registration and flagging charges
- Navigation documentation
- Radio licensing
- Annual governmental obligations
- Recordation of the title of ownership
- Recordation of a naval mortgage, where financing exists
- Inspection and survey requirements
- Technical and safety certificates
- Legalisation, apostille and authentication of instruments executed abroad
- Professional legal fees
What drives the government charges
- Vessel type
- The service the vessel will perform
- Gross and net tonnage
- Age of the vessel
- Intended operation and trading area
- The registration category applied for
Third-party charges — class societies, surveyors, notaries, apostille authorities and the previous registry — sit outside both the government charges and our fees.
Why we publish no fee table. Fee schedules circulate widely online and many reproduce figures published years ago. We publish a government charge only where it can be verified as current against official material. Send us the particulars and we will itemise the government charges, foreseeable third-party costs and our fees before you instruct us.

Frequently Asked Questions
General information, not legal advice for a particular vessel.
Can a foreign owner register a yacht in Panama?
Yes. Article 3 of Law 57 of 6 August 2008 allows any natural or legal person to register, with no requirement of nationality or domicile. Whether a particular yacht qualifies depends on the vessel and the Precheck outcome.
Do I need a Panamanian company to register a vessel?
Not as a matter of law — a foreign company or an individual may hold the vessel. Owners often use one for liability, financing or succession reasons, and lenders sometimes require a single-purpose entity.
Do I need a Panamanian resident agent?
Yes. Article 102 of Law 57 of 2008 requires owners of vessels in the Merchant Marine to designate a Panama-qualified lawyer or law firm, by an instrument authenticated where executed abroad. Our firm can act in that capacity.
What documents are required for Panama ship registration?
The application through the appropriate channel, the original resident agent designation (authenticated if issued abroad), prima facie evidence of ownership or of the intention to acquire it, proof of payment of government charges, and anything further the Directorate requires. The list is not exhaustive and varies with the vessel’s age, condition, service and operating area.
What is the AMP Precheck?
A risk assessment announced by the AMP on 11 October 2024, filed before the registration application by a Panamanian law firm or a Merchant Marine consulate. It is valid for fifteen calendar days, and completing it neither constitutes entry into the Registry nor amounts to a pre-evaluation of the requirements in force.
How long does Panama vessel registration take?
There is no fixed period and we do not publish one. It depends on the owner’s documentation, the authentication chain abroad, the vessel’s technical and survey position, the Precheck outcome and the authority’s workload.
Can a private or charter yacht be registered under the Panama flag?
Both can. Private use, without carrying passengers for reward, generally falls within a lighter certification regime; a charter yacht is commercially operated, so additional declarations, certification, survey and crewing obligations may apply depending on tonnage, passenger capacity and trading area. Reassess if a private yacht later begins to charter.
Can a newbuilding be registered in Panama?
Yes. The shipyard’s construction documentation replaces a previous-registry cancellation certificate, and Article 40 of Law 57 of 2008 contemplates assigning vessel identification data ahead of registration. The Precheck uses the keel-laying date or, failing that, the delivery date.
Can a ship mortgage be registered in Panama?
Yes — preliminarily through Merchant Marine consulates, or definitively by public deed. A naval mortgage may be celebrated in any language and country, with a Spanish extract registrable where it meets Article 260 of Law 55 of 2008. Fleet mortgages and mortgages over vessels under construction are contemplated. Recognition outside Panama depends on the law of the relevant forum.
Can a foreign-flag vessel use Panama bareboat charter registration?
Article 70 of Law 57 of 2008 permits it without renouncing the foreign registry, provided that registry’s legislation allows it. The filing requires the charter contract, owner and mortgagee consents, a certificate of ownership and encumbrances from that registry, a certification of consent from the country of registry, and the resident agent designation.
What does Panama yacht registration cost?
It depends on the vessel, and we publish neither a flat price nor a government fee table. Cost can include AMP flagging charges, navigation documentation, radio licensing, annual obligations, title and mortgage recordation, surveys, certificates, apostille costs and legal fees — driven by vessel type, service, tonnage, age, operation and registration category.
Do documents signed abroad have to be authenticated or apostilled?
Yes — an apostille under the Hague Convention where the country of execution is a party, or consular legalisation where it is not. It sits outside our control and the authority’s and is frequently the longest item in a timetable, so start it early.
